Introduction: These terms and conditions (“Terms”) set out the basis on which African Experts for Consulting and Capacity Building (hereinafter “African Experts” or “we” or “us”) will provide consulting and capacity building services to our clients (hereinafter “Client” or “you”). These terms apply to all consulting and capacity building services provided by African Experts, including but not limited to: training, workshops, coaching, consulting, research, and other services. 

Services: African Experts will provide consulting and capacity building services as described in the proposal or agreement between African Experts and the Client. We will use reasonable care and skill in providing these services, and will provide them in accordance with industry standards. 

Payment: The Client will pay the fees for the services provided by African Experts as set out in the proposal or agreement between African Experts and the Client. The payment terms will be agreed upon by African Experts and the Client. 

Refunds: If the Client is not satisfied with the services provided by African Experts, and if the Client has raised the issue with African Experts and given African Experts a reasonable opportunity to resolve the issue, the Client may be entitled to a refund of fees paid for the services. Refunds will be at the discretion of African Experts. 

Confidentiality: African Experts will keep all information provided by the Client confidential, and will not disclose any such information to third parties without the Client’s prior written consent. 

Intellectual Property Rights: The Client acknowledges that African Experts owns the intellectual property rights in the consulting and capacity building services provided by African Experts. The Client may not reproduce or distribute any such intellectual property without the prior written consent of African Experts.

Limitation of Liability: African Experts will not be liable for any loss or damage suffered by the Client as a result of the consulting and capacity building services provided by African Experts, except in the case of death or personal injury caused by African Experts’ negligence, or as otherwise required by law.

Governing Law: These terms and conditions will be governed by and construed in accordance with the laws of Tunisia Any disputes arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of Tunisia.

Changes to these terms and conditions: African Experts reserves the right to make changes to these terms and conditions at any time. If we make changes, we will post the updated terms on our website and inform the Client of the changes.

Acceptance of terms: By using the services provided by African Experts, the Client agrees to be bound by these terms and conditions.
